1. About this policy
1.1 This policy explains how billing, cancellation and refunds work for GarageCloud subscriptions. It is issued by EdinPro Digital Ltd, trading as GarageCloud ("GarageCloud", "we", "us"), a company registered in Scotland under company number SC906556, registered office 11 Muir Place, Livingston, EH54 5BF.
1.2 It forms part of our Terms of Service. Words such as Account, Billing Period, Fees and Plan have the meanings given there.
2. Prices
2.1 Our Plans are Starter, Business and Professional. Current prices are shown on our website at garage-cloud.co.uk. All prices are monthly and in pounds sterling. We are not currently registered for VAT, so no VAT is added. If we register, we will give at least 30 days' notice before adding VAT.
3. Introductory pricing
3.1 The first 50 businesses to activate an Account pay an introductory price for 12 months from activation. After 12 months, the standard price for your Plan at that time applies. We will email you at least 30 days before your price changes.
3.2 Introductory pricing cannot be transferred and ends if you cancel and later subscribe again. If you change Plan during the 12 months, you pay the introductory price for your new Plan for the rest of that period.
4. Monthly and annual billing
4.1 Monthly. You are charged on the day your Account is activated and on the same date each month after that.
4.2 Annual. If you pay for 12 months upfront you pay the equivalent of 10 monthly Fees, so you get 2 months free. Your annual subscription renews automatically. We will email you at least 30 days before renewal with the price.
4.3 There is no free trial. Fees start from the day your Account is activated.
5. How you pay
5.1 We accept debit and credit cards only, processed securely by Stripe. Apple Pay or Google Pay may be offered where your device supports them. We do not accept bank transfer, cash or direct debit.
5.2 You can update your card at any time in your Account settings. Invoices are available to download there.
6. If a payment fails
| When | What happens |
|---|---|
| Day 0 | Payment fails. We email you and ask you to update your card |
| Days 1 to 7 | Grace period. Your Account works as normal and we retry the payment automatically |
| Day 8 onwards | If payment is still outstanding, we may suspend your Account. Your data is kept safe and your End Customers may not be able to use the Customer Portal |
| 30 days after suspension | If payment is still outstanding, we may end your subscription under the Terms of Service |
6.1 Access is restored as soon as we receive payment. Fees continue to build up during suspension.
6.2 We may charge interest and compensation on overdue sums under the Late Payment of Commercial Debts (Interest) Act 1998.
7. Changing your Plan
7.1 Upgrades take effect straight away. We charge the difference for the rest of your current Billing Period on a pro rata basis.
7.2 Downgrades take effect from the start of your next Billing Period. We will tell you before you confirm which features or data you will lose access to.
8. Credits
8.1 Credits earned under the Feature Suggestion Reward Terms are applied to your next invoice. Credits have no cash value, cannot be transferred and are lost if your subscription ends before they are used.
9. Cancelling
9.1 You can cancel at any time in your Account settings or by emailing [email protected]. We will confirm your cancellation by email.
9.2 Cancellation takes effect at the end of your current Billing Period. You keep full access until then and will not be charged again.
9.3 After cancellation you have 30 days to export your data, as set out in clause 20 of the Terms of Service.
10. Refunds
10.1 Fees are not refundable, except in these cases:
| Situation | Refund |
|---|---|
| We charged you in error or twice | Full refund of the incorrect amount |
| We end your subscription without cause (Terms clause 19.3) | Fees paid in advance for the unused period |
| We materially reduce your Plan's core features and you cancel (Terms clause 17.3) | Fees paid in advance for the unused period |
| A fault we cannot fix within a reasonable time (Terms clause 21.3) | Fees paid in advance for the unused period |
| An event beyond our control lasts over 30 days (Terms clause 24.2) | Fees paid in advance for the unused period |
| You object to a new sub processor and we cannot resolve it (DPA clause 8.2) | Fees paid in advance for the unused period |
| You pay annually and cancel because of a material change to the Terms that disadvantages you (Terms clause 25.2) | Fees paid in advance for the unused period |
10.2 We do not give refunds for change of mind, unused time on a monthly plan, or not using the Service.
10.3 Refunds are made to the card used for payment within 10 Working Days of being agreed.
11. Third party charges
11.1 Charges from Third Party Services you connect, such as payment providers, accounting software or text message providers, are billed to you by those providers and are not covered by this policy.
11.2 On the Business and Professional Plans, we recharge the cost of your GoHighLevel sub account to your card. When your subscription ends, you can choose to keep the sub account running separately by agreement with us. If you do not, we will close it and stop these charges from the end of your final Billing Period.
11.3 Text messages, emails and calls you send through the Service's built in messaging are charged to your card at the provider's cost plus 50%, so you pay 1.5 times what the provider charges us. This is a markup, not a fixed rate: the amount per message or minute depends on the provider's price, for example the destination. These charges are not refundable once a message is sent or a call is made. Messages and calls sent through your own connected Twilio or GoHighLevel account are billed to you by that provider, not by us.
12. Disputed charges and chargebacks
12.1 If you think a charge is wrong, email [email protected] within 30 days and we will look into it. Please contact us before raising a chargeback with your card provider. If a chargeback is raised on a valid charge, we may suspend your Account until the matter is resolved.
